1. General Provisions

 
1.1. Term definitions used in this Terms and Conditions agreement:
Buyer – an individual or legal person who is placing an order or shows an intention to do so on lturock.com website.
Seller – lturock.com (UAB “uRock”, company code: 302923014).
Party – both the Buyer and the Seller together.
 
1.2. These terms of purchase and sale of goods (hereinafter referred to as Terms) is a legal document binding parties which determines the rights and obligations of the Buyer and the Seller, the terms and conditions of purchasing and paying for the goods, the procedure for delivering and returning the goods, the liability of the parties as well as other terms and conditions related to the purchase and sale of the goods on the e-shop lturock.com.
 
1.3. The Seller reserves the right to modify, correct or improve Terms at any time. Registered users will be informed about the changes made to the Terms upon logging into lturock.com website and will have to confirm they have read and agree with the Terms once more. Changes in the Terms apply only to the purchases made after agreeing to the new Terms.
 
1.4. All and any legal and natural persons who have reached full age and whose legal capacity is not limited within the judicial procedure as well as minor children from 14 to 18 years of age who have the consent of their parents or guardians, unless they dispose of their income independently, are allowed to purchase on the e-shop lturock.com.
 

2. Sales Agreement Comes Into Effect

 
2.1. The agreement between the Buyer and the Seller shall be deemed effective from the moment the Buyer presses the button “Order” after he/she has put the goods into the shopping cart on the e-shop, indicated the delivery address, chosen the payment method, read and agreed with the Terms and Conditions.
 
2.2. Each Terms and Conditions agreement is registered and stored on lturock.com database.
 
3. Rights of the Buyer
 
3.1. The Buyer has the right to purchase products from lturock.com website in accordance with the procedures established by these Terms.
 
3.2. The Buyer has the right to disagree with the Terms notifying the Seller about it in writing (by e-mail, indicating the order number) before the Seller begins processing the order.
 

4. Obligations of the Buyer

 
4.1. The buyer must accept purchased goods and pay the agreed amount in accordance with the procedures established by the Terms.
 
4.2. If there are changes in the Buyer’s data provided in the registration form, the Buyer must immediately update it. If the changes are made after order confirmation, the Buyer must inform the Seller about it using the contact information provided in the “Contacts” section of the website.
 
4.3. The Buyer undertakes not to hand over his/her login data to any third persons. The Buyer must immediately inform the Seller about the loss of the login data using the contact information provided in the “Contacts” section of the website.
 
4.4. The Buyer undertakes to comply with the Terms and legal acts of the Republic of Lithuania.
 
4.5. If the Buyer refuses to accept the purchased products upon delivery without valid reasoning, the Buyer must cover the delivery costs.
 

5. Rights of the Seller

 
5.1. If the Buyer tries to jeopardize the stability and safety of the e-shop or breaches his/her obligations, the Seller has the right to restrict, suspend or cancel the Buyer’s access to the e-shop.
 
5.2. In certain unavoidable circumstances the Seller can choose to temporarily or permanently stop activities on lturock.com website without giving prior notice to the Buyer.
 
5.3. The Seller has the right to cancel an order without prior notice if the Buyer does not make a payment in 2 business days after choosing a non-cash settlement option.
 
5.4. The Seller has the right to cancel an order without prior notice if they are unable to contact the Buyer in 2 business days.
 
5.5. The Seller has the right to refuse to form a sales agreement with a specific Buyer including, but not limited to, cases where the Buyer had declined from a sales agreement and returned their items two or more times in the last six months.
 
5.6. The Seller has the right to refuse to form a sales agreement if they run out of products or the agreement was made with a Buyer who on the basis of these Terms did not have the right to form a contract.
 

6. Obligations Of The Seller

 
6.1. The Seller undertakes to permit the Buyer to use Urock provided services under the conditions of the Terms agreement.
 
6.2. The Seller undertakes to deliver the goods ordered by the Buyer to the address provided by the Buyer under the conditions specified in these Terms.
 
6.3. The Seller undertakes to refund the Buyer in 2 business days from receipt of the payment if due to important circumstances the Seller is unable to deliver the ordered goods to the Buyer.
 
6.4. The Seller undertakes to respect the Buyer’s privacy right to personal information indicated in the online store registration form except in cases established by the laws of the Republic of Lithuania.
 

7. Prices, Payment And Terms

 
7.1. Product prices on lturock.com website are provided in Euro currency, including VAT.
 
7.2. In cases when the Buyer offers their price and the Seller accepts, the Buyer receives a discount coupon with which the final order amount is reduced to the agreed sum.
 
7.3. The Buyer can use the following option to pay for the ordered products:
 
7.3.1. Payment by Paypal system – is a payment method when the Buyer uses the Paypal system to transfer money to Urock Paypal account.
 
7.4. By using payment method indicated in clauses 7.3.1. the Buyer undertakes to make a payment immediately.
 
7.5. When using Paypal system for payment transfer the login details and information provided by the Buyer are used for payment procedures only and this data is not shown or transferred to lturock.com.
 
7.6. The Buyer can pay for the products in cash if the purchase is executed in the Urock premises at Savanoriu pr. 192, Kaunas, LT-44151, Lithuania.
 
7.7. By agreeing with these Terms the Buyer accepts to receive the purchase documents (VAT invoices) electronically, to the e-mail address indicated in the Buyer’s registration form.
 

8. Delivery

 
8.1. The Seller undertakes to deliver the purchased products to the Buyer in accordance with the time limits specified in the product descriptions. The Buyer agrees that in exceptional cases delivery may be delayed due to force majeure circumstances.
 
8.2. By forming an order the Buyer undertakes to specify the exact delivery address of the purchased products.
 
8.3. The Buyer undertakes to receive the purchased products himself/herself. In cases when the Buyer is not able to receive the purchased products himself/herself whilst the products have been delivered to the specified address and also based on other information provided by the Buyer, the Buyer has no right to make claims for the product delivery to inappropriate entity.
 
8.4. Shipping charges and more detailed information related to product delivery are provided in the Delivery tab on the Customer Service page.
 
8.5. In cases when the Buyer cancels the sales agreement on the basis of these Terms, the Buyer is obligated to pay all direct costs of returning the products to the Seller. The amount of these costs is deducted from the money refunded to the Buyer.
 
8.6. In any event the Seller is exempted from the liability for breaching the product delivery time limits, if the products are not delivered or delivered behind time due to the Buyer’s fault or due to circumstances not depending on the Seller.
 
8.7. The Buyer can choose the option to pick up the ordered items himself/herself directly from Urock premises at Savanoriu pr. 192, Kaunas, LT-44151, Lithuania.
 

9. Product Returns And Replacements

 
9.1. Return of purchased products is executed in accordance with Order No. 217 “Regarding the Approval of Regulations on Return and Replacement of Goods” of the Minister of Economy of the Republic of Lithuania of 29 June 2001.
 
9.2. The Buyer can use the right to return the purchased products within 14 business days from the delivery date informing the Seller under the conditions specified in these Terms.
 
9.3. The Buyer has to cover the direct return costs except in cases when the Seller specifies differently.
 
9.4. Products can be returned free of charge directly to Urock premises at Savanoriu pr. 192, Kaunas, LT-44151, Lithuania.
 
9.5. Before returning the purchased products the Buyer must inform the Seller about the return using phone number +37066519850 or info@urock.lt e-mail address.
 
9.6. The following conditions must be met when returning the purchased products to the Seller:
 
9.6.1. Product must be returned with the original Urock label.
 
9.6.2. Product must be in the same condition as it was received (undamaged inner labels, etc.).
 
9.6.3. The Buyer must complete a return form and send a scanned copy to info@urock.lt e-mail or send the original document together with the purchased product.
 
9.6.4. Product must be returned in a tidy package.
 
9.6.5. Refunds are issued to the Buyer’s bank account indicated in the return form within 2 work days from the delivery date of the returned products.
 
9.6.6. Urock reserves the right to refuse a return if the Buyer does not comply with the procedure specified in these Terms.
 

10. Responsibility

 
10.1. The Buyer is solely responsible for the accuracy of the data provided in the registration form. If the Buyer fails to submit accurate data in the registration form, the Seller is not liable for the resulting consequences.
 
10.2. The Buyer is responsible for the actions carried out using the website lturock.com.
 
10.3. The Buyer is responsible for transferring their login data to third parties. If the services provided by Urock are used by a third person borrowing the login data of the Buyer, the Seller considers this person as a Buyer.
 
10.4. The Seller is exempted from any liability in cases when the loss arises from the fact that the Buyer, despite the Seller’s recommendations and the Buyer’s obligations, did not get acquainted with these Terms, although such opportunity was granted.
 
10.5. In case of damage, the responsible party compensates the direct losses incurred to the other party.
 

11. Information Exchange

 
11.1. The Seller sends all messages and notifications to the e-mail address provided by the Buyer in the registration form.
 
11.2. The Buyer must send all messages and questions using the contact information provided in the “Contacts” section of the website.
 

12. Final Provisions

 
12.1. The law of the Republic of Lithuania will apply to relations arising on the basis of these Terms.
 
12.2. All disputes arising from the fulfillment of these Terms will be resolved by negotiation. If both Parties fail to reach an agreement, disputes will be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.
